Terms of Service

Version 2026-10-11. Last updated: October 11, 2026.

These Terms of Service (“Terms”) are a legally binding agreement between you (“you” or “your”) and Codon, a trade name (“Codon”, “we”, “us” or “our”). They govern your access to and use of the codonhq.com website, the Codon control site at app.codonhq.com, Codon workspaces, the Codon web client, the Codon Mac app, the Codon game client and every related service, feature and piece of content (together, the “Service”).

BY CREATING AN ACCOUNT, ACCEPTING THESE TERMS WHEN ASKED, OR ACCESSING OR USING THE SERVICE, YOU AGREE TO BE BOUND BY THESE TERMS AND BY OUR PRIVACY POLICY. IF YOU DO NOT AGREE, DO NOT USE THE SERVICE.

1. Eligibility

You must be at least 18 years old to use the Service. The Service is intended solely for adults; it is not intended for, and may not be used by, anyone under the age of 18. If you have reason to believe that a person under 18 is using the Service, contact us at hello@codonhq.com.

By using the Service you represent and warrant that you are 18 or older and have the legal capacity to enter into these Terms. If you use the Service on behalf of an organization, you represent that you have the authority to bind that organization to these Terms, and “you” includes that organization.

2. Your account

To use most of the Service you must create an account with your email address. You agree to give accurate and current information and to keep it up to date. You are responsible for keeping your sign-in codes, devices and credentials (including the credential of any Mac you pair) confidential, and for all activity under your account. Tell us at once at hello@codonhq.com if you believe your account has been used without your permission. One account per person; do not share your account.

We may suspend or terminate your account at any time, for any reason, including a breach of these Terms, with or without notice and without liability to you.

3. The Service

Codon is a voice-driven, multiplayer coding workspace. You and the other members of a workspace speak or type requests; AI agents carry them out in the workspace's repositories and in any folders members lend; the workspace's files, changes, transcripts and agents appear on shared screens in a room the members share. The Service is reached through a web browser, the Mac app, and a game client. Features may change, be added or be removed at any time, and some features are available only to paying members.

4. Intended for the United States

The Service is operated from and intended for residents of the United States. We make no representation that it is appropriate or lawful to use elsewhere. If you use the Service from outside the United States, you do so on your own initiative and you are responsible for complying with the laws that apply to you.

5. AI output is not advice

The Service relies on artificial intelligence models provided by third parties. Their output — code, text, plans, transcripts, summaries, answers, speech, and any change an agent makes — can be incorrect, incomplete, insecure, biased, out of date or offensive, and it may be similar to content produced for others. AI output is not professional advice of any kind (including legal, medical, financial, security or engineering advice). You are solely responsible for reviewing, testing and deciding whether to rely on or use any output, and for the consequences of doing so.

6. Agents act on your code and your Mac

Agents do real work. When you or another member of your workspace asks, an agent may read, create, change and delete files; run programs, scripts and shell commands; install software; make network requests; and commit, merge and push changes, including to a GitHub repository you connect to the workspace. In a folder you lend from your Mac, agents and the workspace's members (as your settings allow) may read, change and delete the files in it.

Codon is not responsible for the loss of, damage to or disclosure of any code, file or data caused by an agent, by another member, or by a command run at anyone's request.

7. Workspaces and other members

A workspace is shared. Everyone you invite into a workspace, according to their role, can see and hear what happens in it: the files and repositories, the file graph, the screens, what is said to agents and their replies, transcripts of what members say to the agents, the conversation on the open player channel, where each member is in the room and what they look at. Owners and administrators can also see the workspace's usage and spending and who it was for. Invite only people you trust with that content, and do not bring anything into a workspace that its members should not see.

The owner of a workspace decides who is a member and with what role, and may remove members. When you are removed from a workspace, your access to it ends; content you contributed stays in the workspace.

8. Your content

“Your Content” means anything you or your agents put into the Service or produce through it: code, files, documents, prompts, messages, recordings of your voice, transcripts, voice samples and settings.

You keep all rights you have in Your Content. You grant Codon a non-exclusive, worldwide, royalty-free licence to host, store, copy, process, transmit, display and perform Your Content only as needed to run the Service for you and your workspaces: to show it to the members of the workspaces you put it in, to run agents and commands on it, and to send it to the third-party providers that provide parts of the Service (listed in our Privacy Policy) for that purpose. We do not sell Your Content, publish it, or use it to train AI models. This licence ends when Your Content is deleted from the Service, except for copies kept as our Privacy Policy describes.

You represent and warrant that you own or have the rights you need in Your Content; that putting it into the Service, sending it to the providers, and having agents act on it does not infringe or violate anyone's rights, including intellectual property and privacy rights, or any licence or agreement; and that Your Content complies with these Terms and the law.

We do not endorse, verify or take responsibility for any content in the Service. We may, but have no obligation to, review, remove or disable access to any content at our discretion.

9. Voice and voice cloning

The Service listens to your microphone only while you have it open. What you say to the dispatcher or to an agent is sent to a transcription provider and becomes a transcript; replies are spoken by a speech provider. What you say on the open player channel is relayed as audio to the other members of your workspace and is not transcribed.

Voice cloning is off unless you turn it on. If you turn it on, the Service makes a voice clone from samples of your speech (up to 120 seconds) through ElevenLabs, and uses the clone only to voice words you say, for the members of your workspace. By turning it on, you confirm that:

You can ask us to delete your clone at any time; it is also deleted when you leave the workspace it was made in or delete your account.

10. Acceptable use

You agree not to, and not to let your agents or anyone using your account:

11. Fees, subscriptions and refunds

Current prices are on our Pricing page, which is part of these Terms. Payments are processed by Stripe; we do not receive or store your full card number.

12. Third-party services and their policies

Parts of the Service are provided by third parties, including Anthropic (the AI models agents run on), OpenAI (transcription and some language and search features), ElevenLabs (speech and voice cloning), Stripe (payments), GitHub (when you connect a repository) and the hosting and infrastructure providers named in our Privacy Policy. When you use the Service you must also comply with the usage policies of the AI providers it uses, including Anthropic's Usage Policy, OpenAI's usage policies and ElevenLabs' prohibited use policy, which apply to your requests and content as if you were using those services directly.

Your use of a third-party service you connect, such as GitHub, is governed by that service's terms. We are not responsible for third-party services, do not endorse them, and have no liability for their availability, their acts or omissions, or your use of them.

13. The Mac app and offline copies

Paying members may download the Codon Mac app. It pairs your Mac with your account, lends the folders you choose to your workspace, and can keep an offline copy of a workspace on your Mac so you can keep working without a connection. An offline copy stays on your Mac, under your control and subject to your Mac's own security; we cannot reach, back up or delete it except that, when your access to a workspace ends, the app deletes that workspace's offline copy the next time it checks in. Edits you make offline are merged back when you reconnect, with the access your role then allows. You are responsible for your Mac and for what you lend from it.

14. Open-source components

The Service includes open-source software, each component licensed under its own licence. In particular, the Mac app includes git, which is licensed under the GNU General Public License version 2; its licence and its complete source code are included in the app. Nothing in these Terms restricts any right you have under an open-source licence, and where these Terms conflict with such a licence for that component, the licence controls. See Open-source software for details.

15. Our intellectual property

Apart from Your Content and the open-source components described in section 14, the Service and its content, features and functionality are and will remain the property of Codon and its licensors, protected by copyright, trademark and other laws. Subject to these Terms, we grant you a limited, personal, non-exclusive, non-transferable, revocable licence to use the Service for as long as your account is in good standing. “Codon” and the Codon robot are our trademarks; you may not use them without our permission, except to refer to the Service accurately.

16. Feedback

If you send us comments, ideas or suggestions about the Service (“Feedback”), we may use them for any purpose, without restriction, attribution or compensation to you.

17. Reports and enforcement

Report abuse, illegal content, a cloned voice used without consent, a security issue, or any breach of these Terms to hello@codonhq.com. We may investigate any report or suspected breach and take any action we consider appropriate, including removing content, deleting a voice clone, suspending or terminating accounts or workspaces, and reporting to law enforcement. We do not promise to review every report, to act within any particular time, or to monitor the Service.

18. Disclaimer of warranties

THE SERVICE, AND EVERYTHING PROVIDED THROUGH IT, IS PROVIDED “AS IS” AND “AS AVAILABLE”, WITH ALL FAULTS, AND WITHOUT WARRANTY, GUARANTEE OR CONDITION OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY OR OTHERWISE. YOUR USE OF THE SERVICE IS ENTIRELY AT YOUR OWN RISK. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, CODON DISCLAIMS ALL WARRANTIES, GUARANTEES AND CONDITIONS, INCLUDING:

CODON GIVES NO INDEMNITY OF ANY KIND: CODON DOES NOT INDEMNIFY, DEFEND OR HOLD HARMLESS YOU OR ANYONE ELSE AGAINST ANY CLAIM, INCLUDING A CLAIM THAT THE SERVICE, ANY AI OUTPUT OR ANY COMPONENT OF THE SERVICE INFRINGES ANYONE'S RIGHTS. NO ADVICE OR INFORMATION, WHETHER ORAL OR WRITTEN, OBTAINED FROM CODON OR THROUGH THE SERVICE CREATES ANY WARRANTY, GUARANTEE OR INDEMNITY.

19. Limitation of liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CODON, ITS OWNER, OR ITS AFFILIATES, CONTRACTORS, AGENTS, LICENSORS OR SERVICE PROVIDERS BE LIABLE FOR ANY:

  1. INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE OR EXEMPLARY DAMAGES;
  2. LOSS OF PROFITS, REVENUE, BUSINESS, DATA, CODE, FILES, GOODWILL OR OTHER INTANGIBLE LOSSES; OR
  3. DAMAGES RESULTING FROM: (I) YOUR ACCESS TO, USE OF OR INABILITY TO USE THE SERVICE; (II) ANY AI OUTPUT, OR ANY ACTION AN AGENT TAKES, INCLUDING ANY CHANGE TO OR DELETION OF ANY CODE, REPOSITORY, FILE OR SYSTEM, AND ANY COMMAND IT RUNS; (III) THE CONDUCT OR CONTENT OF ANY OTHER MEMBER OR THIRD PARTY; (IV) UNAUTHORIZED ACCESS TO, USE OF OR ALTERATION OF YOUR TRANSMISSIONS OR CONTENT; (V) ANY THIRD-PARTY SERVICE; OR (VI) ANY ERRORS, MISTAKES OR INACCURACIES IN THE SERVICE;

WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY OR ANY OTHER LEGAL THEORY, AND WHETHER OR NOT CODON HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL CODON'S TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TO CODON IN THE TWELVE (12) MONTHS IMMEDIATELY BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) FIFTY UNITED STATES DOLLARS (USD $50.00).

THESE LIMITATIONS APPLY TO THE FULLEST EXTENT PERMITTED BY LAW, EVEN IF ANY REMEDY FAILS OF ITS ESSENTIAL PURPOSE. SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OR LIMITATION OF CERTAIN WARRANTIES OR DAMAGES; IN THEM, THE EXCLUSIONS AND LIMITATIONS IN SECTIONS 18 AND 19 APPLY TO THE FULLEST EXTENT THOSE LAWS PERMIT.

20. Indemnification

You agree to indemnify, defend and hold harmless Codon, its owner, and its affiliates, contractors, agents, licensors and service providers from and against all claims, demands, losses, liabilities, damages, costs and expenses (including reasonable attorneys' fees and court costs) arising out of or relating to: (a) your use of or access to the Service; (b) Your Content; (c) anything an agent does at your request or at the request of a member you invited; (d) any voice you submit for cloning; (e) your violation of these Terms; (f) your violation of any law or regulation, or of any third-party provider's terms or usage policies; (g) your violation of any third party's rights, including intellectual property and privacy rights; or (h) your dealings with other members. This obligation survives the end of these Terms and of your use of the Service.

21. Governing law and venue

These Terms, and any dispute, claim or controversy arising out of or relating to them or to the Service, are governed by the laws of the State of Delaware, without regard to its conflict of laws rules. You agree to submit to the exclusive personal jurisdiction of the state and federal courts located in the State of Delaware for the resolution of any such dispute.

22. Jury trial and class action waiver

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, YOU AND CODON EACH WAIVE THE RIGHT TO A JURY TRIAL AND THE RIGHT TO PARTICIPATE IN A CLASS ACTION, COLLECTIVE ACTION, PRIVATE ATTORNEY GENERAL ACTION OR OTHER REPRESENTATIVE PROCEEDING OF ANY KIND. ALL CLAIMS MUST BE BROUGHT IN THE PARTIES' INDIVIDUAL CAPACITY AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE OR REPRESENTATIVE PROCEEDING.

23. Termination and account deletion

We may suspend or terminate your account and your access to the Service at any time, without prior notice or liability, for any reason, including a breach of these Terms. When your access ends, your right to use the Service ends at once.

You may delete your account at any time with “Delete my account” in your account settings on the control site. Deleting your account ends your memberships and any sponsorships you pay for immediately and without refund, removes you from every workspace, and deletes the workspaces that only you belong to and your voice clones, as our Privacy Policy describes. If you own a workspace that other members still use, you must first hand it to another owner. Deletion cannot be undone.

Every provision of these Terms that by its nature should survive termination survives it, including sections 8 (the representations), 11 (no refunds), 14 to 16 and 18 to 27.

24. Changes to these Terms

We may change these Terms at any time. If we make a material change, we will tell you through the Service or by email, and may ask you to accept the new Terms before you continue. Your continued use of the Service after a change takes effect means you accept the revised Terms. If you do not agree, stop using the Service and delete your account.

25. Severability

If any provision of these Terms is held invalid, illegal or unenforceable, the remaining provisions continue in full force and effect, and the invalid or unenforceable provision is modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

26. Entire agreement

These Terms, together with the Privacy Policy and the Pricing page, are the entire agreement between you and Codon regarding the Service, and supersede all prior agreements, understandings and communications about it, whether written or oral. Our failure to enforce a provision is not a waiver of it. You may not assign these Terms without our consent; we may assign them, including in connection with a sale or transfer of the Service.

27. Export compliance

You represent and warrant that (a) you are not located in a country that is subject to a U.S. Government embargo or that has been designated by the U.S. Government as a “terrorist supporting” country, and (b) you are not listed on any U.S. Government list of prohibited or restricted parties. You will not use or export the Service, or any software from it, in violation of U.S. export laws and regulations.

28. Contact

Questions, complaints, claims and reports about the Service go to hello@codonhq.com.
